There is little doubt that New York Community Bancorp (NYSE: NYCB ) is one of the best-run banks in the country. However, it isn't perfect.
Earlier this month, shareholders in the high-yielding regional bank voted against its executive pay practices. According to a regulatory filing dated June 30, a total of 142.7 million shares rejected its executive compensation plan while only 122.5 million shares voted for it.
Why would shareholders reject NYCB?
At first glance, this seems odd. Led by longtime CEO Joseph Ficalora, New York Community Bancorp was one of the few lenders to emerge from the financial crisis unscathed.
Its financial strength was so undisputed, in fact, that it was able to reject bailout money from the government in 2009. The decision not only protected current shareholders from dilution, it also allowed the bank to continue distributing nearly all of its earnings to shareholders.

The list above is based on my team's analysis of whether sector valuations appropriately price in each sector's expected earnings growth, profitability and risk. Based on these factors, I have a preference for the energy and informational technology sectors, accessible through the iShares S&P Global Energy Sector Fund (IXC) and the iShares S&P Global Technology Sector Fund (IXN). And as I write in my new Investment Directions commentary piece, if it turns out that we do see more investors rotating out of defensives and into more attractively priced cyclicals, these two sectors are poised to especially benefit.

Advisors' Opinion:- [By Johanna Bennett]
Scientific Games (SGMS) is placing a big bet on Bally Technologies (BYI).
Early today, the seller of instant ticketing systems and game-control software announce it was buying the slot machine maker for $5.1 billion, including debt, marking the latest deal in the gaming equipment industry.
Bally shareholders will get $83.30 a share or a 38% premium to the stock’s closing price on Thursday. Scientific Games will take on $1.8 billion of Bally’s debt.
As expected, the news sent Bally share soaring 20% to $77.72. But investors aren going all in on the deal, with Scientific Gamesshare price down 2% to $8.33 a share.
The deal looks good on paper. As the WSJ reports:
The two companies generated combined revenue of about $3 billion in the one-year period ended March 31. The merger plan calls for $220 million of cost synergies and $25 million of capital-expenditure savings through consolidating operations and creating efficiencies across a range of activities.
Scientific Games said it expects the deal to immediately benefit the company’s per-share earnings and cash flow and help reduce the company’s leverage over the next three to four years.
This is not the first coupling for Scientific Games. In late 2013, it bagged WMS Industries, a maker of gambling equipment, for $1.42 billion, while Bally acquired fellow casino-device maker SHFL Entertainment for $1.3 billion. And in mid-July, casino-equipment maker International Game Technology (IGT) agreed to be acquired by Italian lottery-operator Gtech in a deal worth $4.7 billion.

We are likely approaching the last time I will be reporting on WMS Industries (WMS), the former Williams Electronics. It has agreed to be acquired by Scientific Games (SGMS) for $26 per share, plus the assumption of WMS' modest debt. The deal is scheduled to close by the end of this year. On its own, WMS is having a dismal fiscal year, which ends June 30. For this year, the company, no doubt with distracted management, earnings are likely to end at about $0.90 per share, compared with fiscal 2012's $1.31 per share. Helping drive earnings lower are additional measures the company is taking to drive up revenues, which remain well below last decade's peak. WMS' stock has flat lined the past few months at within three percent of the $26 price. There is virtually no upside, though there is downside if the deal collapses. I see no reason to get invested in WMS.

Advisors' Opinion:- [By Mark Yagalla]
As the fast-food wars heat up, restaurants are getting more creative with their menu items. One item that is getting a lot of attention is the waffle. Two restaurant chains that have introduced their own variations of the waffle are Taco Bell, owned by Yum! Brands (NYSE: YUM ) and Popeyes Louisiana Kitchen (NASDAQ: PLKI ) . Taco Bell has made the Waffle Taco a centerpiece of its new breakfast menu. Meanwhile, Popeyes is bringing back its popular Chicken Waffle Tenders. Could the waffle be the answer and boost same-store sales for these restaurants? If it is the answer, expect to see more variations of the waffle on many more menu boards.

Advisors' Opinion:- [By Roberto Pedone]
Another under-$10 biopharmaceutical player that's starting to move within range of triggering a big breakout trade is Aastrom Biosciences (ASTM), which is a regenerative medicine company focused on the development of cell therapies to repair or regenerate damaged or diseased tissues. This stock has trended modestly lower over the last three months, with shares off by 4.9%.
If you take a look at the chart for Aastrom Biosciences, you'll notice that this stock just recently formed a double bottom chart pattern at $3.16 to $3.14 a share over the last month and change. Following that bottom, shares of ASTM have started to spike higher and move back above its 50-day moving average of $3.58 a share. That move is quickly pushing shares of ASTM within range of triggering a big breakout trade.
Market players should now look for long-biased trades in ASTM if it manages to break out above some near-term overhead resistance at $4.50 a share with high volume. Look for a sustained move or close above that level with volume that hits near or above its three-month average action of 140,540 shares. If that breakout hits soon, then ASTM will set up to re-test or possibly take out its next major overhead resistance levels at $6.25 to $6.80 a share. Any high-volume move above those levels will then give ASTM a chance to re-fill some of its previous gap-down-zone from last August that started at $12 a share.
Traders can look to buy ASTM off any weakness to anticipate that breakout and simply use a stop that sits right below its 50-day moving average of $3.58 a share. One can also buy ASTM off strength once it starts to clear $4.50 a share with volume and then simply use a stop that sits a comfortable percentage from your entry point.
