Cash on hand
The cash piles in corporate America are at record highs. Corporate cash was at $1.25 trillion in the third quarter, according to S&P Dow Jones's Howard Silverblatt , eclipsing the previous record for the fifth straight quarter.
The Washington Post's Jia Lynn Yang reported that in 2013, there were 885 stock buybacks authorized. That compares to 52 in 1985. The 30 Dow Jones stocks collectively bought back $211 billion of their own stock -- more than three times what they spent on research and development (R&D) in 2012.

One of the largest deals this year, and the one that could make an interesting new trend had LINN Energy (NASDAQ: LINE ) combine with its affiliate LinnCo (NASDAQ: LNCO ) to purchase Berry Petroleum (NYSE: BRY ) in an all-stock deal valued at $4.3 billion. The deal was unique because LINN is structured like an MLP while Berry is a C-Corp. To get the deal done, LINN used its newly public LinnCo, which is a C-Corp and whose only assets are units of LINN, to merge with Berry. Once the merger closes, LINN will trade its units to LinnCo for Berry's operating assets. LINN�believes�this new structure could be the new deal standard as it looks to continue to consolidate mature oil and gas assets in the United States. �

It really is the same thing as when LINN goes out and makes another deal. As a growth by acquisition company, LINN has no choice but to tap the capital markets to get deals done. That's why you saw the $4.3 billion purchase of Berry Petroleum (NYSE: BRY ) in conjunction with its affiliate LinnCo (NASDAQ: LNCO ) earlier this year as a stock-for-stock deal. Even when LINN makes a cash deal, like its two deals with BP (NYSE: BP ) last year, its getting that cash from investors not from cash flow. For example, when LINN�announced�the �$1.2 billion purchase of BP's Hugoton assets, it announced�a debt offering to pay for it.
