I wrote on bearings and velocity control products company Kaydon (KDN) in early March of this year, and I didn't see a lot of value at the time. As the year went on, that call looked worse and worse, as the stock climbed about 18% - well above the S&P 500, and well above industry peers/competitors like Timken (TKR) and SKF (SKFRY.PK). To top it all off, Kaydon announced this morning (September 5) that it had received and accepted a buyout offer from SKF valuing the company at $35.50 - some 45% higher than the price when I thought it looked only about 10% undervalued. So what did I get wrong here, and what can investors do to avoid a similar mistake?
First, The Deal
First things first - the deal with SKF. Kaydon agreed to sell itself for $33.50 per share in cash. That makes this deal worth about $1.25 billion, or nearly 13 times the trailing EBITDA of Kaydon. It also represents a 22% premium to the prior close.
This is a logical deal for SKF on multiple fronts. For starters, Kaydon will meaningfully expand the company's U.S. presence - something it could have done on its own eventually, but certainly not without spending money. With that, there is the possibility of using Kaydon's existing U.S. footprint to sell more SKF products and further trouble rivals like RBC Bearings (ROLL) and ITT (ITT).

Almost all the media I've seen since regarding the acquisition has been quite favorable. As I write this almost a full week has passed; the 10% uptick on the news is holding steady. It appears no one has a problem with this deal--except me. Read on and I'll explain why Jarden may be burning the candle at both ends.
The Deal's Positives
The company does a good job explaining why it's acquiring Yankee Candle. It comes down to six reasons:
1. Yankee Candle are market leaders in premium scented candles.
2. Its brand awareness results in repeat purchases providing recurring revenue.
3. It does well in good and bad economic cycles.
4. Free cash flow is strong and growing.
5. It will add 10% to its pro forma adjusted earnings per share and that's before any synergies.
6. It didn't have to go through a bidding war.
You don't have to be a rocket scientist to see that the deal boosts its margins in impressive fashion. Its adjusted gross margin will increase 320 basis points to 32.1% while its adjusted EBITDA margin improves 140 basis points to 13.2%. And all it has to do to achieve these improvements is to shell out $1.75 billion paid using cash on its books, new equity and some additional debt. In this low-rate environment it doesn't seem like a bad proposition. Especially if it can generate permanent cost savings through economies of scale, etc.
What it really brings to the table is top-line growth. In 2012, Yankee Candle's revenues increased by 7.4% year-over-year to $844.2 million. Meanwhile, Jarden's revenues in 2012 were flat year-over-year at $6.7 billion. Its 542 retail stores delivered same-store sales growth of 2.5% in 2012, which is more than respectable. You don't have to be an expert technical analyst to figure out what's going on in shares of Newcastle Investment (NCT) -- a quick glance at the chart will do. NCT has been in an uptrend since the end of December, rallying as it got pushed by tailwinds in the real estate sector and then spun off its residential financing unit into New Residential Investment (NRZ) in May.
Adjusting shares of NCT for the spinoff gives us the chart above.
As you might expect, the best time to be a buyer in NCT is on a bounce off of support. Buying off a support bounce makes sense for two big reasons: It's the spot where shares have the furthest to move up before they hit resistance, and it's the spot where the risk is the least (because shares have the least room to move lower before you know you're wrong).
The fact that NCT has managed to clear its previous swing high from May speaks volumes about this stock's relative strength right now. Historically, high relative strength tends to continue to outperform the market for another three to 10 months. That puts NCT owners in a good position for the second part of 2013.

Athersys, Inc., a biopharmaceutical company, engages in the discovery and development of therapeutic products in various disease areas in the United States. 3M raised its quarterly dividend by 35%, as the company continued its effort to consistently boost its payouts to shareholders. 3M–whose products include Scotch tape, Nexcare bandages and Post-it Notes–is known as a reliable profit machine. Dividends have increased annually in each of the past 55 years. Shares rose 2.8% to $131 premarket.
